Partner Program Terms & Conditions

1. Subject and Relationship of the Parties

This Agreement is between Alolilo LLC, an Ohio company ("Alolilo"), and you ("Partner"). By registering, you acknowledge that you are acting as an independent contractor. Nothing in this Agreement creates any employment, agency, joint venture, or partnership relationship. You have no authority to bind Alolilo or act on its behalf.

2. Commissions and Deductible Fees

You will earn a commission on "Qualified Sales". Commission is calculated on the net amount, after deduction of taxes, refunds, transaction fees (payment processors), and administrative costs. Alolilo reserves the right to deduct these fees directly from your commissions.

3. Marketing Restrictions

You are strictly prohibited from bidding on "Alolilo" brand keywords (or variations) on search engines (Google Ads, Bing, etc.). Spamming (unsolicited emails), "cookie stuffing," and misleading advertising will result in immediate termination and forfeiture of commissions.

4. Intellectual Property License

Alolilo grants you a limited, non-exclusive, revocable license to use the provided logos and links solely for the purpose of promoting our services. You may not modify our visuals or create confusion regarding the origin of the service.

5. Unilateral Suspension and Termination

Alolilo reserves the exclusive, absolute, and discretionary right to suspend, cancel, or terminate your partner account unilaterally, at any time, for any reason whatsoever (including inactivity) and without prior notice or indemnity. This decision is final.

6. Limitation of Liability and Indemnification

Alolilo shall not be liable for indirect damages, lost profits, or data loss. You agree to indemnify and hold Alolilo harmless from any claims arising out of your promotional activities or negligence.

7. Discretionary Modification

Alolilo may modify these terms at its sole and absolute discretion, at any time, and without your prior agreement. It is your responsibility to review these terms regularly. Your continued participation in the program constitutes irrevocable acceptance of any modifications.

8. Governing Law and Jurisdiction

This Agreement is governed by the laws of the State of Ohio, USA. Any dispute not resolved amicably shall be submitted to exclusive arbitration in Franklin County, Ohio.

9. WAIVER OF CLASS ACTIONS

YOU AND ALOLILO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS.
